Terms of Service
DRAFT — PENDING EDUCATION-PRIVACY COUNSEL REVIEW
Effective date (proposed): August 14, 2026
Provider: The AI Systems Architect LLC (“Company,” “we,” “us”)
Products: Coursekit (faculty/institution platform) and Studian (student learning assistant)
These Terms govern access to and use of Coursekit and Studian (the “Services”). By creating an account, accepting an invitation, or signing an order form or institutional agreement, you agree to these Terms.
1. Parties and roles
1.1 Institutional customers. When an educational institution (“Institution”) contracts for the Services, the Institution is the customer. Institution administrators, faculty, and staff use Coursekit under the Institution’s authority.
1.2 End users. Students and other individuals (“End Users”) may access Studian or Coursekit features through their Institution. End Users must follow these Terms and any Institution policies.
1.3 Education records. For FERPA purposes, when the Institution designates the Company as a “school official” with a legitimate educational interest under 34 CFR § 99.31(a)(1), education records remain under the Institution’s control. The separate Data Processing Agreement (“DPA”) controls over these Terms for education-record handling if there is a conflict.
2. Accounts and eligibility
2.1 You must provide accurate registration information and keep credentials confidential. Multi-factor authentication may be required for certain roles.
2.2 The Services are intended for postsecondary education and adult learners. The Services are not directed to children under 13 and are not designed for COPPA parental-consent workflows. Institutions must not enroll under-13 users.
2.3 We may suspend accounts for security abuse, ToS violations, or Institution direction.
3. License and acceptable use
3.1 Subject to these Terms, we grant a limited, non-exclusive, non-transferable right to use the Services for legitimate educational and administrative purposes.
3.2 You will not: reverse engineer the Services except as allowed by law; probe or overload systems; bypass access controls; upload malware; use the Services to harass or violate law; scrape or resell the Services; or use student data for advertising or sale.
3.3 AI features generate probabilistic outputs. Users remain responsible for academic integrity and for verifying AI-assisted work against Institution policies. The Services do not replace faculty judgment.
4. Institution content and student data
4.1 Institutions and End Users retain ownership of content they submit (“Customer Content”).
4.2 We process Customer Content only to provide and secure the Services, as directed by the Institution, and as described in the Privacy Policy and DPA.
4.3 We do not sell personal information or education records, and we do not use education records for targeted advertising.
5. Third-party AI and subprocessors
5.1 AI features may send prompts and context to subprocessors listed at /legal/subprocessors (e.g., LLM providers). Institutions may control available models and AI settings where the product allows.
5.2 Subprocessors change; we maintain a public registry and will provide notice of material changes as described in the DPA / Privacy Policy.
6. Security
6.1 We implement administrative, technical, and physical safeguards appropriate to the Services (encryption in transit, access controls, MFA availability, audit logging, WAF). No method of transmission or storage is 100% secure.
6.2 Report suspected security incidents to [email protected] (or the contact listed in the Incident Response Plan).
7. Intellectual property
7.1 The Services, branding, and underlying software are owned by the Company or its licensors. Feedback may be used to improve the Services without obligation.
8. Disclaimers and limitation of liability
8.1 THE SERVICES ARE PROVIDED “AS IS” TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8.2 AI OUTPUTS MAY BE INACCURATE OR INCOMPLETE. WE DO NOT WARRANT THAT AI FEATURES WILL MEET ANY PARTICULAR LEARNING OUTCOME.
8.3 EXCEPT FOR WILLFUL MISCONDUCT, GROSS NEGLIGENCE, OR OBLIGATIONS THAT CANNOT BE LIMITED BY LAW (AND EXCEPT AS OTHERWISE AGREED IN A SIGNED INSTITUTIONAL AGREEMENT OR DPA), OUR AGGREGATE LIABILITY ARISING OUT OF THE SERVICES IS LIMITED TO THE FEES PAID BY THE APPLICABLE INSTITUTION FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.
8.4 Institutional order forms or master agreements may modify liability terms for that Institution.
9. Indemnity
End Users and Institutions will defend and indemnify the Company against claims arising from Customer Content, misuse of the Services, or violation of these Terms, except to the extent caused by our breach of the DPA or willful misconduct.
10. Term, suspension, termination
10.1 These Terms apply while you use the Services. Institutional subscriptions follow the order form term.
10.2 Upon termination, we will make Customer Content available for export for a commercially reasonable period and delete or return education records as required by the DPA.
11. Changes
We may update these Terms by posting a revised version at /legal/terms with an updated effective date. Material changes for Institutions will be communicated per the DPA / contract notice provisions. Continued use after the effective date constitutes acceptance except where notice-and-acceptance is required by contract.
12. Governing law
Except as otherwise agreed in a signed institutional agreement, these Terms are governed by the laws of the State of [COUNSEL TO CONFIRM], excluding conflict-of-law rules. Venue for disputes will be the state or federal courts located in [COUNSEL TO CONFIRM], unless arbitration is required by a signed agreement.
